Last night I was listening to some music and heard a faint pop sound and then laptop went totally dead. Nothing happens when I push the power button, no indicator lights come on, not even when the ac adapter is plugged in there are no lights. I'm so bummed...guess it's the motherboard thats fried. What do you think?

I think your analysis is correct. Time for a new laptop. You should be able to salvage the hard drive and data by installing it into an external enclosure. The carcass can be sold for parts (screen, keyboard, etc) on eBay.

No lights? Could be the AC Adaptor... Any way you can test that on a friends Toshiba or with a volt meter?

Sorry, it was worth a shot. I don't think it is the memory, but you could try removing, try one stick at a time, etc.
It doesn't hurt to get a repair estimate...
